These Terms of Use govern your use of roaveagents.com (the "Site"), operated by Roave Technology LLC ("Roave", "we", "us"). By using the Site you agree to them. If you do not agree, please do not use the Site.
Access to the Roave advisor platform at app.roaveagents.com is governed by a separate agreement accepted during agency onboarding. Where that agreement and these Terms conflict, that agreement controls for the platform.
1. Who may use the Site
The Site is intended for travel professionals and businesses. You must be at least 18 and able to form a binding contract. Platform access is limited to credentialed travel agencies and is granted at our discretion.
2. Acceptable use
You agree not to:
- scrape, harvest or systematically extract content or rate data from the Site;
- attempt to gain unauthorised access to any system, account or network;
- interfere with the operation of the Site, including by overloading it;
- circumvent any access control, rate limit or authentication measure;
- use the Site to build a competing product or service; or
- use the Site in violation of any applicable law or regulation.
3. Rates, availability and content
Hotel rates, availability, supplier lists, commission tiers and inventory counts shown on the Site are indicative and for general information only. They change constantly, are supplied by third parties, and do not constitute an offer. Bookable rates and terms are those displayed inside the platform at the time of booking and confirmed by the relevant supplier.
Figures such as the number of hotels or suppliers are approximate and may change without notice.
4. Third-party suppliers
Roave aggregates inventory from third-party suppliers. Those suppliers are responsible for their own rates, cancellation policies, terms and the delivery of the accommodation or service. Roave is not the provider of the travel services themselves and does not control supplier conduct.
5. Intellectual property
The Site, its content, design, and the Roave name and marks are owned by Roave or its licensors and protected by intellectual property laws. You may view and print pages for your internal business use. You may not copy, republish, modify or create derivative works from the Site without our prior written permission. Third-party marks are the property of their owners and are used for identification only.
6. Links to other sites
The Site links to third-party websites we do not control. We are not responsible for their content, availability or practices, and a link is not an endorsement.
7. Privacy
Our handling of personal information is described in the Privacy Policyand Cookie Policy.
8. Disclaimers
The Site is provided "as is" and "as available". To the fullest extent permitted by law, Roave disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Site will be uninterrupted, secure or error-free, or that any information on it is accurate or current.
9. Limitation of liability
To the fullest extent permitted by law, Roave and its officers, employees and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, bookings or goodwill, arising out of or relating to your use of the Site, whether based in contract, tort or any other theory, even if advised of the possibility. Our total aggregate liability arising out of or relating to the Site will not exceed one hundred US dollars (US$100).
Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you. Nothing here limits liability that cannot be limited by law.
10. Indemnity
You agree to indemnify and hold Roave harmless from any claim, loss or expense (including reasonable legal fees) arising out of your use of the Site or your breach of these Terms.
11. Changes
We may modify these Terms at any time by posting a revised version with a new "Last updated" date. Continued use of the Site after a change means you accept the revised Terms. We may also change, suspend or discontinue any part of the Site.
12. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. You and Roave agree to the exclusive jurisdiction of the state and federal courts located in California for any dispute arising out of or relating to these Terms or the Site, and each party waives any objection to venue in those courts.
13. General
If any provision is held unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver of it. These Terms, together with the policies referenced in them, are the entire agreement between you and Roave regarding the Site. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
